It exists different forms of implementation, whose you will allow to be the nearest of your Belgian interlocutors.

Representation office

Under the shape of local office, even a simple post office box, it is your relay in Belgium. As long as this office just works on preparatory activities and assistants not essential of a stable establishment (generally departments of information, public relations) and persons present in Belgium have no powers, there is no branch either in the direction of commercial law, or accountant law, or income tax. There is no necessity to hold an accoutning in Belgium, either to be registered in the business register, either to bring in Belgium a declaration a statement for non-residents tax.

The branch

Without distinct legal personnality from its parent company, the branch presents as well the same terms of working as Belgian companies: subject to Belgian VAT, the obligation to hold a local accounting and to publish annual accounts, income tax, hiring of staff, ect. We can make for you the opening steps of your branch.

 

The subsidiary 

It can take the form of a limited liability private company (SPRL), near of French SARL or anonymous company (SA). For more information about other kind of companies more precisely (SC, SCS, SCA, SNC, ASBL), don't hesitate to contact us.

Main characteristics:

SPRL: minimum capital subscribed: 18550 € / liberated: 6200 €. Two associates minimum, one for the SPRLU.

SA: minimum capital subscribed and liberated: 61500 €. Two associates minimum.
